The shareholder vote is still a required closing condition. Under a voting agreement signed with the deal, Anthony Wood and related trusts, who together hold a majority of Roku's voting power, agreed to vote yes. The bigger open question is regulatory review, which is why the companies are targeting 2027.
What changes for Roku users right now?
Nothing. Until the deal closes, Roku stays an independent company. Your Roku device, your Roku account, subscriptions you pay for through Roku, and the apps on your home screen all work the same way they did before the announcement.
Even after closing, the companies have promised to keep Roku "an open, partner-friendly platform" and to keep distributing FOX content widely. That matters because Roku carries apps from Fox's competitors, including Netflix, YouTube TV, Disney+ and others. Nothing announced so far removes any app from Roku.
What could change after the deal closes
- Tubi and The Roku Channel are separate apps today. Check future company announcements for any service changes. Most viewing on The Roku Channel is live channels, while Tubi is mostly on-demand movies and shows. Advertising arrangements after closing may change; no action is required from viewers.
- More FOX content on the home screen. The companies say the deal will "enhance content discovery." One possible result is greater visibility for FOX sports, news and Tubi on Roku's home screen and in The Roku Channel. FOX One is already available inside The Roku Channel (see our coverage of that launch).
- Frndly TV and Howdy move to Fox. Roku owns both today. No changes to their plans or prices have been announced.
- Your device keeps working. No device changes or account migrations have been announced. If that changes, Roku would have to notify customers.
